Initial Buyer Consultation

We start with a conversation about your goals, budget, background, and timeline. I want to understand what you are looking for — and what you want your life to look like as a business owner — before we begin the search.

Topics covered: Business type preferences, investment range, desired role (owner-operator vs. semi-absentee), financing options, and timeline.

Buyer Profile & NDA

To access confidential business information, you will complete a buyer profile and sign a non-disclosure agreement. This protects the seller’s business and signals that you are a serious, qualified buyer.

What is required: Buyer profile form, signed NDA, and proof of financial capacity. Acceptable documentation includes one or more of the following: a snapshot of bank balances (account numbers redacted), a letter from your financial institution confirming immediate access to a specified amount of funds, or a lender pre-qualification letter. If you need a lender referral, I work with several experienced business acquisition lenders and am happy to make an introduction.

Business Search & Evaluation

I present businesses that match your criteria and provide Confidential Business Reviews (CBRs) or Confidential Information Memorandums (CIMs) for listings of interest. We review the financials together so you understand the opportunity before investing more time.

What you receive: CBRs with financial summaries, my honest assessment of each opportunity, and comparisons to help you prioritize.

Business Showing & Seller Meeting

When you identify a serious candidate, I arrange a showing and a meeting with the seller. This is your opportunity to ask questions, evaluate the operation firsthand, and assess whether the business and seller are a good match for you.

Offer & Purchase Agreement

When you are ready to move forward, I can prepare an Asset Purchase Agreement (APA) outlining your proposed price, terms, and conditions. A Letter of Intent (LOI) can also be offered but must be prepared by a licensed Florida Attorney. I will facilitate negotiations on your behalf to reach an agreement that works for both parties.

Key terms negotiated: Purchase price, deal structure (asset vs. stock sale), seller financing, training period, non-compete agreement, and contingencies.

Due Diligence

Once the APA or LOI is signed, you enter the due diligence period. This is your opportunity to verify everything the seller has represented — financials, operations, leases, customer relationships, and contracts. I coordinate access and keep the process organized.

Typical review areas: Tax returns, P&L statements, bank statements, lease terms, equipment condition, employee agreements, and existing contracts.

Closing & Ownership Transfer

With due diligence complete, the closing attorney prepares final documents, funds are transferred, and ownership officially changes hands. I coordinate with all parties to ensure a smooth, timely closing and successful transition.

Final steps: Asset transfer, lease assignment, license transfers, employee introductions, and seller training period.
